POV - Media Licensing Agreement

1. Definitions

• "Content" refers to video recordings and associated metadata created through the POV mobile application • "Metadata" refers to location data, heading data, timestamps, and other technical data associated with the Content • "Creator" refers to the user who created the Content using the POV app • "Buyer" refers to the media organization purchasing the Content • "License" refers to the rights granted under this agreement • "Watermark" refers to the POV overlay applied to preview versions of Content • "Bounty" refers to a specific content request created by a media organization

2. Preview Rights

2.1 Preview Content

• Preview versions include a POV watermark • Watermarked content may not be broadcast or distributed • Preview content may be internally evaluated • No rights are granted to preview content • Metadata summary is provided with preview

3. License Grant

3.1 Direct Purchase License

Upon successful purchase, Creator grants to Buyer:

• Worldwide, perpetual, non-exclusive rights • Right to broadcast on all platforms • Right to edit and modify content • Right to use associated metadata • Right to create derivative works • Right to sublicense to affiliates • Right to distribute through all media • Right to monetize the content

3.2 Bounty Submission License

For content submitted to and accepted through a bounty:

• Same rights as Direct Purchase License • Exclusive rights for first 24 hours after acceptance • Creator retains right to sell to other buyers after exclusivity period • Metadata rights included in license

4. Creator Warranties

Creator warrants that:

• They own all rights to the content • Content was legally obtained • Content does not violate any rights • Metadata is accurate and unmodified • They have authority to grant license • No other licenses conflict with this agreement

5. Buyer Obligations

Buyer agrees to:

• Pay the specified purchase price • Use content in accordance with license • Maintain content integrity • Not remove or alter metadata • Credit Creator if required by purchase terms • Maintain confidentiality of metadata

6. Metadata Rights

6.1 Metadata License

Purchase includes right to:

• Use all associated metadata • Assess content provenance using the metadata provided • Analyze location data • Process technical information • Share metadata with affiliates

6.2 Metadata Restrictions

Buyer shall not:

• Use metadata to track individuals • Share raw metadata with third parties • Modify or falsify metadata • Use metadata for surveillance

7. Content Metadata

7.1 What metadata records

Metadata associated with Content may record recording location, recording time, and device-reported heading and orientation.

Metadata is captured by the contributor's device and stored by POV as received. POV does not independently verify, validate, or certify metadata, and does not certify the authenticity or integrity of Content. Buyer is responsible for its own editorial verification.

7.2 Modifications

• Any edits must be disclosed • Original metadata must be preserved • Modified versions must be marked

8. Payment Terms

8.1 Direct Purchase

• Payment processed through POV • Funds held in escrow until delivery • Creator receives payment upon delivery • POV fee deducted from payment

8.2 Bounty Payment

• Bounty amount fixed upon creation • Payment automatic upon acceptance • No additional fees for licensing • Clear payment terms in bounty

9. Liability and Indemnification

9.1 Creator Indemnification

Creator shall indemnify Buyer for:

• Rights violations • False warranties • Legal claims from content • Metadata accuracy issues

9.2 Buyer Indemnification

Buyer shall indemnify Creator for:

• Unauthorized content use • License violations • Metadata misuse • Distribution violations

10. Term and Termination

10.1 License Term

• Perpetual for purchased content • Survives POV platform changes • Survives account termination • Cannot be revoked after purchase

10.2 Termination

• No refunds after content delivery • Rights survive termination • Metadata rights survive termination • Confidentiality obligations survive

11. Dispute Resolution

11.1 Process

• Governed by POV Terms of Service • Mandatory arbitration applies • Jurisdiction in Wisconsin • Class action waiver applies

11.2 Remedies

• Injunctive relief available • Monetary damages limited to purchase price • No consequential damages • Specific performance available

12. Additional Terms

12.1 Assignment

• Buyer may assign to affiliates • Creator cannot assign rights • POV may assign agreement • Notice required for assignment

12.2 Modifications

• Agreement cannot be modified after purchase • Bounty terms fixed upon creation • Written modifications required • POV must approve changes

By proceeding with the purchase or bounty submission, both parties agree to these terms.
